1. Introduction and Acceptance of Terms

By accessing or using this website, the Client Portal at /portal, or by engaging THE iCON — Intelligent Consultancy for any consultancy service, you acknowledge that you have read, understood and accepted these Terms of Service in full. If you do not agree with any part of these Terms, you must not use the website or contract our services.

2. Description of Services

THE iCON provides B2B consultancy services in eight practice areas: Investment Analysis (Planning), Strategic Planning (Legal), Financial Management (Financials), Technology & Development (Tech), Marketing & Growth (Marketing), Project Management, Company Valuation and AI Implementation. The 'Free Diagnostic' session and the output of the Budget Wizard are indicative estimates provided for informational purposes only and do not constitute a binding proposal, quote or contractual commitment.

3. Client Portal Terms

The Client Portal at /portal gives contracted clients access to their projects, shared documents and invoices. Each client is solely responsible for the confidentiality of their access credentials and for any activity carried out under their account, and must promptly notify THE iCON at privacy@theicon.pt of any suspected unauthorised use. Portal availability is not guaranteed on a 24/7 basis and may be temporarily interrupted for maintenance, updates or reasons beyond our reasonable control. Access to the Portal is revoked at the end of the contractual relationship, unless otherwise agreed in writing.

4. Consultancy / Engagement Terms

The scope, deliverables, timelines and price of each consultancy engagement are defined in a separate proposal and/or services agreement, signed by both parties before work begins. The 30-minute Free Diagnostic and any output generated by the Budget Wizard are non-binding estimates and do not replace a signed engagement. Engagements may take the form of a fixed-scope project or an ongoing partnership (monthly retainer), as chosen by the client and reflected in the applicable contract.

5. Content and Intellectual Property

All content published on this website — including texts, brand assets, logos, graphics and design — is the property of THE iCON — Intelligent Consultancy and is protected by applicable intellectual property laws. Our internal methodologies, frameworks and proprietary tools remain the exclusive property of THE iCON, including when applied in the context of a client project. Ownership and licensing of project-specific deliverables is defined in the respective services agreement.

6. Limitation of Liability and Disclaimer of Warranties

The website and any online tools made available (including the ROI calculator and the Budget Wizard) are provided on an 'as is' and 'as available' basis, without warranties of any kind, whether express or implied. THE iCON does not warrant any specific business outcome, revenue, return on investment or commercial result arising from the use of its consultancy services, which by their nature depend on multiple factors outside our control. To the maximum extent permitted by Portuguese law, THE iCON's liability is limited accordingly.

7. Termination

THE iCON may suspend or terminate access to the Client Portal, or restrict access to the website, in the event of a breach of these Terms or of the applicable services agreement. Termination of contracted consultancy services is governed by the terms of the applicable services agreement signed between the parties.

8. Governing Law and Dispute Resolution

These Terms are governed by Portuguese law. The parties designate the courts of the judicial district of Lisbon as the competent forum to resolve any dispute arising from or related to these Terms or to the use of the website and services, without prejudice to mandatory consumer protection provisions that may apply.

9. General Provisions

THE iCON may update these Terms from time to time; the current version and the 'Last updated' date at the top of this page prevail. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Together with the applicable services agreement, these Terms constitute the entire agreement between the parties regarding the use of the website, the Client Portal and the consultancy services.
